1. Acceptance of Terms

By downloading, installing, or accessing Digital Larynx (the “Software”) or our website, you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these terms, you may not use our Software.

2. Description of Service

Digital Larynx is a desktop companion application that utilizes optical character recognition (OCR) and artificial intelligence (AI) to provide real-time voice acting for video games. The Service relies on third-party integrations, including ElevenLabs for audio generation and OpenAI for visual analysis.

3. Accounts and Security

To access premium features, cloud syncing, and AI voice generation, you must create an account via our authentication provider, Supabase. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscriptions, Payments, and Credits

A. Subscription Tiers

Digital Larynx offers paid subscription tiers (Casual, Gamer, Pro, Streamer, Hardcore) processed securely via Stripe. By subscribing, you agree to pay the monthly fees indicated at the time of purchase.

B. The Credit System

Paid subscriptions allot you a specific number of “Credits” per month (e.g., 15,000 for Casual, 250,000 for Streamer).

  • Usage: Credits are deducted when the Software generates new audio via the cloud API or uses Smart Vision features.
  • Reset: Credits are refreshed monthly upon your subscription renewal date. Unused credits do not roll over unless explicitly stated in a specific promotional offer.
  • Overage: If you exhaust your credits, you may continue to use the Software with local system voices or purchase a top-up pack.

C. Cancellation

You may cancel your subscription at any time through your account settings or the Stripe portal. Your access to premium features will continue until the end of your current billing cycle.

5. License and Intellectual Property

A. Software License

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Software for your personal, non-commercial use (subject to Section 6 below).

B. Ownership

All rights, title, and interest in the Software, including source code, logos, and OCR algorithms, are and will remain the exclusive property of Digital Larynx.

C. User Content

You retain ownership of any game scripts, configuration profiles, or character maps you create locally. By syncing this data to our Cloud Database, you grant us a license to store and backup this data to provide the Service to you.

6. Commercial Use and Streaming Rights

A. Personal Use (Casual, Gamer, Pro)

Subscriptions at the Casual, Gamer, and Pro tiers are for personal, non-commercial entertainment only. You may not use the generated audio for commercial projects or monetized broadcasts.

B. Commercial Rights (Streamer & Hardcore Tiers)

Users with an active Streamer or Hardcore subscription are granted a limited commercial license to broadcast (stream) and record the audio generated by the Software on platforms such as Twitch and YouTube.

  • Responsibility: You acknowledge that you are solely responsible for securing the necessary rights to stream the video game itself. Digital Larynx grants rights only for the voice audio generated by our tool.

7. AI Voice Disclaimer

The voices heard in Digital Larynx are generated synthetically by Artificial Intelligence.

  • No Impersonation: These voices are not recordings of real human actors. Any resemblance to real persons, living or dead, is unintentional.
  • Prohibited Content: You may not use the Software to generate hate speech, harassment, deepfakes, or any content that violates the policies of our AI partners (ElevenLabs/OpenAI). We reserve the right to terminate accounts found generating abusive content.

8. Third-Party Services & Dependencies

The Software depends on the availability of third-party APIs (Supabase, ElevenLabs, OpenAI, IGDB). We do not guarantee 100% uptime for these services. In the event of an API outage, the Software may default to offline capabilities (local OCR and system voices).

9. Disclaimer of Warranties

The Software is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that:

  • The Software will function with every specific video game title or window configuration.
  • The Software will be error-free or uninterrupted.
  • The use of the overlay will not be flagged by aggressive anti-cheat software (though we utilize passive screen capture to minimize this risk).

10. Limitation of Liability

To the maximum extent permitted by law, Digital Larynx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of your use of the Software.

11. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms, including but not limited to attempting to reverse-engineer the Software or abusing the API credit system.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions.
